Terms of Service

1.The agreement

These Terms govern your use of TIMECUT ("the Service"), operated by Timecut Labs Inc., a wholly-owned product line of Valid Inc. ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

We may revise these Terms from time to time. Material changes will be announced by email at the address on your account at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.

2.Eligibility and accounts

You must be at least 18 years old, capable of forming a binding contract, and not barred from receiving services under the laws of your jurisdiction.

You are responsible for keeping your account credentials secure and for any activity under your account. Notify us immediately if you believe your account has been compromised.

3.What the Service does

TIMECUT is a browser-based video editor with integrated AI generation (video, image, audio). You upload your own media and/or generate new media via third-party model providers (currently including Fal.ai, OpenAI, ByteDance, Google, Kuaishou, and Anthropic), assemble it on a multi-track timeline, and export the result.

The Service runs on Vercel, with storage on Cloudflare R2 + Stream, database on Neon, authentication via Clerk, collaboration via Liveblocks, and billing via Stripe. Outages or policy changes at any of these providers may affect the Service; the public health page at /status shows current operational state.

4.Subscriptions, credits, and refunds

Paid plans (Solo, Pro, Ultra) renew monthly via Stripe at the price shown at checkout. You may cancel at any time from the Stripe Customer Portal accessible inside the Service; your plan remains active until the end of the current billing period. We do not pro-rate refunds for partial months.

Subscription credits are granted at the start of each billing period and do not roll over. Top-up credits are one-time purchases that persist until consumed and never expire while your account is active.

Refunds are issued at our discretion for Service failures attributable to us. Refunds for credits already consumed by successful AI generations are not available — those calls were already metered and paid through to upstream providers.

5.Your content

You retain ownership of media you upload to the Service. By uploading, you grant us a non-exclusive, worldwide, royalty-free license to host, display, encode, and process your content solely to provide the Service to you and any collaborators you invite.

You are responsible for ensuring you have the rights to upload, generate, and use any content within the Service. Do not upload content you do not own or have permission to use.

6.AI-generated content

The Service generates media via third-party AI models. You are responsible for the prompts you submit and the outputs you choose to use, distribute, or publish.

On Pro and Ultra plans, generated media is yours to use commercially, subject to the terms of the underlying model providers. Solo plan generations are licensed for personal and non-commercial use only.

We do not warrant that AI-generated outputs are non-infringing, original, or fit for any particular purpose. Models occasionally produce content resembling copyrighted works or recognizable individuals. Use generated media at your own risk and apply human review before publishing.

7.Acceptable use

You agree not to use the Service to:

  • Generate or distribute content that is unlawful, defamatory, harassing, or that infringes third-party rights;
  • Generate non-consensual intimate imagery, content sexualizing minors, or content depicting real public figures in defamatory contexts;
  • Attempt to reverse-engineer, scrape, or circumvent the Service's rate limits, credit gates, or technical protections;
  • Resell access to the Service or operate a derivative AI generation service on top of our infrastructure without a written commercial agreement;
  • Submit prompts designed to extract training data, system prompts, or sensitive information from upstream model providers.

We may suspend or terminate accounts that violate this section, with or without notice depending on severity.

8.Termination

You may terminate your account at any time by cancelling your subscription in the Stripe Customer Portal and emailing hello@timecut.app to request account deletion.

We may suspend or terminate your account for material breach of these Terms. Upon termination, your projects, uploads, and generated assets will be retained for 90 days to allow re- subscription, after which they may be permanently deleted.

9.Disclaimers and liability

The Service is provided on an "as-is" and "as-available" basis. We make no warranties of uninterrupted operation, error-free outputs, or fitness for any particular purpose. Our maximum aggregate liability for any claim arising from the Service is limited to the total amount you paid us in the 12 months preceding the claim.

We are not liable for losses caused by third-party providers we depend on (Fal, Modal, Cloudflare, Stripe, etc.), nor for consequential, incidental, or punitive damages.

10.Governing law

These Terms are governed by the laws of the State of Delaware, United States. Disputes that cannot be resolved through informal contact should be brought in the state or federal courts located in Delaware.
